Terms of Service
These Terms of Service ("Agreement" or "Terms") constitute a legally binding contract between you ("User," "you," or "your") and Huvio AI ("Huvio," "Company," "we," "us," or "our") governing your access to and use of the Huvio website, web application, mobile application, and all associated features, content, and services (collectively, the "Service").
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by this Agreement and the Huvio Privacy Policy (available at huvio.ai/privacy-policy), which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
If you are accepting this Agreement on behalf of a company or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms, and all references to "you" shall apply to that entity.
1. Account Registration and Eligibility
To access and use the Service, you must register for an account. By registering, you represent and warrant that:
- You are at least eighteen (18) years of age;
- All registration information you submit is accurate, current, and complete;
- You will maintain the accuracy of such information and update it promptly when it changes;
- You have the legal capacity and authority to enter into this Agreement.
Authentication Methods
You may register and sign in using an email address and password, or via single sign-on ("SSO") through your Google or Microsoft account. When using a third-party SSO provider, the terms of service and privacy policies of that provider also apply to your use of those authentication features.
Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to: (a) create a strong, unique password; (b) not share your credentials with any third party; (c) not transfer your account to another person without Huvio's prior written consent; and (d) notify Huvio immediately upon discovering any unauthorized use of your account or any other breach of security. Huvio will not be liable for any loss or damage arising from your failure to comply with these obligations.
2. Teams and Organizations
The Service enables businesses and professional users to create organizational accounts ("Organizations") that allow multiple authorized users to collaborate. Each Organization is governed by one or more administrators ("Admins" or "Super Admins").
Administrator Responsibilities
If you are designated as an Admin, you assume full responsibility for:
- Determining who is invited to join the Organization and ensuring all invited members comply with this Agreement;
- Assigning appropriate access levels and permissions to each team member;
- All actions taken by members of your Organization within the Service;
- Maintaining a valid subscription and ensuring timely payment to keep cameras and monitoring active.
Member Access
If you join an Organization as a team member (non-Admin), your level of access is determined by your Organization's Admin. All cameras, footage, recordings, and billing relationships belong to the Organization, not to individual members. Removal from an Organization by an Admin will immediately terminate your access to that Organization's resources; it does not affect your individual Huvio account.
Account Deletion and Organizational Impact
Deleting your personal Huvio account will close your account and revoke your access to the Service. The following conditions govern the impact on any Organization you administer:
- If at least one other Super Admin remains: Organizational ownership automatically transfers to that Super Admin. However, if you were the billing party, your payment method will cease to function. The Organization must establish a new subscription under the new owner's account to maintain uninterrupted service.
- If no other Super Admin remains: The Organization will be left without an active owner. Existing members may retain their current access level, but no automatic ownership transfer to lower-tier members will occur. Huvio strongly recommends designating a replacement Super Admin before deleting your account.
- If you were the sole member of your Organization: Your account closure will render the Organization inaccessible. No further charges will be assessed; however, amounts already paid are non-refundable. The subscription will automatically cancel at the next billing cycle when payment cannot be collected.
Important Notice — If you are the billing party for your Organization, deleting your account will disable the active payment method. The subscription cannot be transferred to another user. To avoid service interruption for your team, ensure another Super Admin establishes a separate subscription under their own account before you delete yours.
Failure to do so will result in automatic plan cancellation at the next renewal date and deactivation of all associated cameras.
3. Acceptable Use and Legal Compliance
Your use of the Service is conditioned upon your agreement to use it solely for lawful purposes and in compliance with all applicable federal, state, provincial, and local laws and regulations, including—without limitation—those governing privacy, surveillance, recording, data protection, and anti-discrimination.
Permitted Use
You may only use the Service to monitor premises that you own, lease, or have explicit authorization from the property owner to monitor. Laws governing surveillance and recording vary significantly by jurisdiction; it is your sole responsibility to understand and comply with the laws applicable to your specific location and use case.
Legal Compliance Notice — Many jurisdictions require conspicuous signage notifying individuals that an area is subject to video monitoring. Some jurisdictions additionally require prior written consent from individuals before recording. You are solely responsible for: (a) posting required notices; (b) obtaining any required consents; and (c) configuring all privacy zone blockouts and camera settings in compliance with applicable law.
User Obligations
In connection with your use of the Service, you agree to:
- Connect only cameras that you are legally authorized to operate;
- Post all legally required surveillance notices in monitored areas;
- Obtain all required consents for audio recording, as many jurisdictions require consent from all parties being recorded;
- Comply with all applicable laws governing the monitoring of employees, contractors, customers, and members of the public;
- Maintain the security of your network infrastructure, camera hardware, and account credentials.
Prohibited Conduct
You expressly agree not to use the Service to:
- Target, monitor, or discriminate against individuals on the basis of race, ethnicity, religion, gender, sexual orientation, disability, national origin, or any other protected characteristic, in violation of applicable anti-discrimination laws;
- Monitor inherently private spaces, including but not limited to restrooms, locker rooms, changing areas, or private residences, where individuals have a reasonable expectation of privacy, except where expressly permitted by applicable law;
- Gain unauthorized access to other users' accounts or data, or otherwise interfere with the operation or integrity of the Service;
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or trade secrets of the Service or any of its AI components;
- Use any output, data, or insights generated by the Service to develop, train, or improve a competing product or service;
- Resell, sublicense, or otherwise make the Service available to third parties without Huvio's prior written authorization.
The Service connects to your cameras via your own network and internet infrastructure using credentials you provide. Huvio does not control your network, camera hardware, or physical infrastructure and, accordingly, is not responsible for failures arising from camera malfunctions, internet outages, network misconfigurations, or related issues.
4. AI Features and Limitations
The Service incorporates artificial intelligence technology to analyze video feeds and identify potential security-relevant events. For each detected event, the AI model generates a probability score (expressed as a percentage) indicating the estimated likelihood that the event constitutes a genuine security concern.
Disclaimer: The AI components of the Service are not infallible. The system may produce false positives (flagging non-threatening activity) or false negatives (failing to detect actual security events). The Service is designed to supplement—not replace—human judgment and professional security measures. You retain sole responsibility for reviewing all alerts and determining the appropriate response.
Alert Thresholds
You are responsible for configuring a probability threshold for each camera. Huvio will generate an alert only when the AI's probability score meets or exceeds the threshold you have set. You acknowledge that: (a) a lower threshold increases alert frequency and the likelihood of false positives; (b) a higher threshold reduces alert volume but increases the risk of missed detections; and (c) the selection of an appropriate threshold for your specific security requirements is entirely your responsibility.
Facial Recognition
The Service does not utilize facial recognition technology and does not create biometric profiles, face databases, or body identification profiles from your video footage.
AI Configuration Responsibility
You are responsible for configuring all detection zones, privacy blockouts, and alert thresholds. Huvio is not liable for security events missed or incidents that occur as a result of your configuration choices.
5. Alerts and Notifications
When a detected event meets your configured alert threshold, Huvio will attempt to deliver notifications through the following channels: (a) in-app notifications to all Organization members with access to the relevant site; (b) email notifications to email addresses designated for that camera or site; and (c) SMS/text message notifications to telephone numbers designated for that camera or site.
Delivery Limitations
While Huvio makes commercially reasonable efforts to deliver notifications promptly and reliably, we do not guarantee that all alerts will be delivered or delivered without delay. Notification delivery may be affected by factors outside Huvio's control, including but not limited to: internet connectivity issues, mobile carrier restrictions, device settings, and third-party notification infrastructure.
SMS Consent Obligations
If you add a third party's telephone number to receive SMS alerts, you represent and warrant that such person has provided their prior express consent to receive text messages from or on behalf of Huvio in connection with the Service. Transmitting text messages to individuals without legally compliant consent may violate applicable telecommunications and privacy laws, including the Telephone Consumer Protection Act ("TCPA"). You assume sole responsibility for compliance with all applicable SMS and telecommunications laws. Standard message and data rates from the recipient's mobile carrier may apply.
You may modify notification settings, including adding or removing email and SMS recipients, at any time through your account settings.
6. Subscription Plans and Payment
Access to AI monitoring and incident recording features requires a paid subscription. Subscription pricing is assessed on a per-camera basis (each active camera occupying one subscription "slot"). Prior to any purchase, Huvio will clearly disclose the applicable price, billing frequency, number of camera slots being purchased, and any applicable free trial terms.
Free Trials and Automatic Renewal
If Huvio offers you a free trial period, your subscription will automatically convert to a paid plan at the conclusion of the trial period unless you cancel prior to that date. All paid subscription plans renew automatically at the end of each billing period unless cancelled in advance. You may cancel your subscription at any time through your account settings, and cancellation will take effect at the end of the then-current paid billing period. Except as required by applicable law, all fees paid are non-refundable.
Payment Processing
All payment processing is handled by Stripe, Inc. By providing payment information, you agree to be bound by Stripe's applicable terms of service and privacy policy in addition to this Agreement. Mid-cycle changes to the number of active camera slots will result in a prorated adjustment to your billing, calculated based on the remaining time in your current billing period. You are responsible for all applicable taxes assessed in connection with your subscription.
Payment Failure and Plan Changes
In the event of a failed payment, lapsed subscription, or voluntary reduction in the number of subscribed camera slots, Huvio reserves the right to immediately suspend or terminate monitoring, recording, and alert services for affected cameras pending resolution. If you reduce your camera slot count, the most recently added cameras will be deactivated first.
Price Changes
Huvio reserves the right to modify subscription pricing at any time. You will be notified of any pricing changes prior to your next renewal date. Continued use of the Service following the effective date of a price change constitutes your acceptance of the new pricing. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.
7. Ownership of Video Content and Data
As between you and Huvio, you retain all ownership rights in and to the video footage, images, and other content captured by your cameras and uploaded to or processed through the Service ("User Content"). By using the Service, you grant Huvio a limited, non-exclusive, worldwide, royalty-free license to store, process, analyze, display, and transmit your User Content solely to the extent necessary to provide and improve the Service.
Huvio handles all User Content in accordance with its Privacy Policy. Huvio may use aggregated, de-identified, and anonymized data derived from your use of the Service (e.g., to improve detection accuracy) in a manner that does not identify you, your business, or your individual footage.
Incident Recording
When the AI detects a potential security event that meets your configured threshold, Huvio may automatically generate and retain a short video clip of the relevant incident (an "Incident Recording"). The Service does not continuously record all camera feeds at all times. Retention periods for Incident Recordings are determined by your subscription plan and camera-level settings, which are accessible within your account.
Account Deletion and Data Retention
You may delete your account at any time by following the account closure process described in your account settings or by contacting Huvio. Upon account deletion, Huvio will delete or anonymize the personal information associated with your account, subject to the terms of the Privacy Policy. Huvio may retain certain information in non-identifiable form to the extent required by law, for legitimate fraud prevention purposes, for billing record retention, or to maintain continuity of service for remaining Organization members. The impact of account deletion on an Organization is governed by Section 2 of this Agreement.
8. Third-Party Service Providers
The provision of the Service depends in part on trusted third-party service providers, including but not limited to: Stripe, Inc. (payment processing); Google LLC and Microsoft Corporation (identity and authentication); cloud infrastructure providers (data storage and processing); and third-party providers for notification delivery and video analysis services (collectively, "Third-Party Services").
When you use aspects of the Service that involve Third-Party Services, the applicable third party's terms of service and privacy policies may govern your use of those services in addition to this Agreement. Huvio is not responsible for the acts, omissions, or policies of Third-Party Services.
If you access the Service through Apple's App Store or Google Play, you are also subject to the applicable terms and conditions of those platforms. Huvio is not responsible for the availability, functionality, or policies of any third-party application marketplace.
9. Intellectual Property Rights
The Service—including all software, artificial intelligence models, algorithms, designs, trademarks, service marks, trade names, and other proprietary materials—is owned exclusively by Huvio AI and is protected by applicable intellectual property laws, including copyright, patent, trade secret, and trademark law.
This Agreement grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes, subject to the terms and conditions herein. No rights or licenses are granted to you with respect to Huvio's intellectual property except as expressly set forth in this Agreement.
Feedback
If you provide Huvio with suggestions, comments, improvements, or other feedback regarding the Service ("Feedback"), you hereby grant Huvio a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, and incorporate such Feedback into the Service and any future products or services without any obligation of confidentiality, attribution, or compensation to you.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HUVIO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS; (C) WARRANTIES THAT ALL SECURITY EVENTS WILL BE DETECTED OR THAT ALL ALERTS WILL BE DELIVERED IN A TIMELY MANNER; AND (D) WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY AI-GENERATED ANALYSIS OR PROBABILITY SCORE.
11. Limitation of Liability
The Service is a monitoring assistance tool. It is not a guarantee against theft, vandalism, personal injury, property damage, or any other loss or harm. You acknowledge that you have independent responsibilities for your own security and safety measures.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUVIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, FAILURE TO DETECT A SECURITY EVENT, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF—OR INABILITY TO ACCESS OR USE—THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF HUVIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In jurisdictions that do not permit the exclusion or limitation of liability for consequential or incidental damages, Huvio's liability shall be limited to the maximum extent permitted by applicable law. Nothing in this Section shall limit Huvio's liability for fraud, gross negligence, or willful misconduct to the extent such limitation is not permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Huvio AI and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, penalties, judgments, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your access to or use of the Service, or any User Content you submit, post, or otherwise make available through the Service;
- Your violation of this Agreement or any applicable law or regulation;
- Your monitoring or recording of individuals without lawful authorization or required consent;
- Your failure to post legally required surveillance notices or to configure legally required privacy zones;
- The actions or omissions of any team member, employee, contractor, or other individual you invite to your Organization.
Huvio reserves the right, at its own expense, to assume exclusive control of the defense and settlement of any matter subject to indemnification by you, in which case you agree to cooperate with Huvio's defense of such claim and not to settle any such matter without Huvio's prior written consent.
13. Termination of Access
Termination by User
You may discontinue your use of the Service and close your account at any time by accessing your account settings or contacting Huvio at solutions@huvio.ai. Account closure does not entitle you to a refund of any fees previously paid except as required by applicable law.
Termination by Huvio
Huvio reserves the right, in its sole discretion, to suspend or permanently terminate your access to the Service, with or without notice, if: (a) you breach any provision of this Agreement; (b) you fail to make timely payment of any subscription fees; (c) your use of the Service creates legal, regulatory, or safety risks for Huvio or other users; or (d) Huvio is required to do so by applicable law or regulation.
Effect of Termination
Upon termination of your account for any reason, your right to access and use the Service will immediately cease. The following provisions of this Agreement shall survive termination and continue in full force and effect: Section 6 (payment obligations accrued prior to termination), Section 9 (intellectual property), Section 10 (disclaimer of warranties), Section 11 (limitation of liability), Section 12 (indemnification), and Section 15 (general provisions), as well as any other provisions that by their nature are intended to survive termination.
14. Modifications to This Agreement
Huvio reserves the right to modify, update, or replace this Agreement at any time at its sole discretion. When material changes are made, Huvio will provide advance notice by posting the updated Agreement on its website with a revised "Last Updated" date and, for significant changes, by sending notice to your registered email address or through an in-app notification.
Your continued access to or use of the Service following the effective date of any modification constitutes your acceptance of the revised Agreement. If you do not agree to the modified terms, you must discontinue your use of the Service and close your account prior to the effective date of the change.
15. General Provisions
Entire Agreement. This Agreement, together with the Huvio Privacy Policy and any other policies or guidelines expressly incorporated herein by reference, constitutes the entire agreement between you and Huvio with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to such subject matter.
Severability. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
Assignment. You may not assign, transfer, or delegate any of your rights or obligations under this Agreement without Huvio's prior written consent. Huvio may freely assign this Agreement, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without your consent. This Agreement shall be binding upon and inure to the benefit of the parties and their permitted successors and assigns.
Waiver. Huvio's failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver of any provision of this Agreement will be effective only if in writing and signed by an authorized representative of Huvio.
Force Majeure. Huvio shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, acts of war or terrorism, government actions, labor disputes, internet outages, or failures of third-party infrastructure or services.
No Third-Party Beneficiaries. This Agreement is entered into solely for the benefit of you and Huvio and does not create any rights in, or obligations to, any third parties.
16. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or related to this Agreement or the Service shall be brought exclusively in the federal or state courts located in New York County, New York, and you hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
Nothing in this Section shall be construed to prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
